Terms of Service
By using "MRL Inc." Video services, or the Nashville Tracks/ recording studio service, you the (“Client”) agree by the following terms of service:
Our Warranty to You:
My Record Label INC. agrees that all work performed for Clients shall be considered as “works made for hire” as contemplated and defined in Section 101 of the United States Copyright Act. My Record Label INC. hereby grants to Client all rights of every kind and nature in and to the results and proceeds of My Record Label INC.’s services and performances rendered hereunder, including, without limitation, all rights in and to the following Performances, Compositions and/or Masters, including the worldwide copyrights therein, (including the universal copyright and any and all renewal and extension rights) for all uses of whatsoever nature whether now known or hereafter devised, throughout the world and universe. Client shall accordingly have the sole and exclusive right to copyright any Performances, Compositions and/or Masters embodying My Record Label Inc.’s performances under Client’s name as the sole owner and author thereof. In the unlikely event, My Record Label Inc. reserves the right to refuse service and/or terminate service at any time.
These Terms of Service may be amended at any time without notice.
Your Warranty to Us:
You as the Client should be the rightful owner of the Master Recording and/or Composition and all elements contained therein and warrants that it does not violate any law or infringe upon or violate the rights, including without limitation all copyright rights, of any individual or entity. If you (the Client) is not the rightful owner then you warrant to My Record Label INC. that they have the necessary and required permission/license from the rightful owner to re-record, edit and/or modify the Master Recording and/or Composition. Client agrees to indemnify My Record Label INC. its agents or assignees and hold them free and harmless from and against any and all claims, liabilities, costs, losses, damages or expenses, including but not limited to, reasonable attorney fees and court costs, arising out of any failure or breach by Client with respect to its warranties as set forth in this Agreement. If for any reason we shall be deemed not to be the authors of the Performances, Compositions and/or Masters, then My Record Label INC. hereby assigns to Client the entire right, title and interest throughout the universe, in and to the Performances, Compositions and/or Masters, My Record Label INC. acknowledges and agrees that Client and its affiliates, assignees, licensees, etc. have the right to use, produce, reproduce, record, re-record, adapt, edit, delete from, add to, combine with other works, translate, print, publish, advertise, transmit, perform, broadcast, disseminate and otherwise exploit and authorize the exploitation of the Performances, Compositions and/or Masters by any and all means now known or hereafter devised. My Record Label INC. hereby waives the benefit of any provision of law known as “moral rights” or any similar analogous provision of any treaty, statute, regulation or rule of law of any government or quasi-governmental body in any country of the world or throughout the universe. In the event any tracks recorded using the Nashville Tracks recording service are used as a master, ( a master being: sold over 10k units, used in a major motion picture, or tv/radio campaign) You agree to pay an additional Master Scale Fee per musician.
Responsibility:
• The Nashville Tracks Session Date: The virtual session date is always subject to change. Due to events we cannot control, such as emergencies or the fact that our musicians are often called to play on master recording sessions, we have to sometimes reschedule the session date from the original date advertised. In the event of a scheduling change, confirmed clients will be contacted immediately.
• Cancellation Policy: - 24 Hours. Cancellations must be made 24 hours in advance of the session start time. In the event you need to cancel your session within 24 hours of the start time of your session, you will be charged for then entire 3 hour session.
• Data Backup and Archiving: It is the Client's responsibility to pay the studio to backup their data from the studio hard drives to their own personal hard drives.
In the event of a hard drive failure or data loss, My Record Label Inc. is not responsible for loss or damages caused by using its services and or equipment failure. The Client waives the right to bring any legal action(s) against My Record Label Inc. and/or its staff due to any damages or loss, financial or otherwise, resulting from Client’s use of our recording, tracking, mixing, editing, mastering or consulting services.
My Record Label Inc. only maintains your tracks for a period of 30 days following the completion of each project. It is your responsibility to purchase an archive disk or bring in a hard drive to archive the tracks within 30 days of the project completion.
• Payments: Each song recorded via Nashville Tracks must be paid up front and any studio time be paid at the end of each session. A 50% deposit is required to start a music video & the remaining balance due upon completion. Final Mixes & Hi Resolution videos will not be released until final payments have been made. Forms of payment can be cash, check and credit cards via pay pal.
• Final Mixes: Since our business is based off of word of mouth, we intend to make very mix sound as good as it can be. However, all mixes are completed at the studio's discretion. Any obvious revisions such as a vocal being way too loud or too low, will be made free of charge as long as the project has been paid in full. You are welcome to spend additional time to nit pick the final mix. However, you will need to book an additional mix session.(3 hour minimum).
• Cancellation Policy: Nashville Tracks Virtual Session: Once you have decided to reserve a slot (per song) on the next Nashville Tracks session, your payment is due immediately. This confirms the musicians and the studio in Nashville as well as your slot on the session. Once you have paid for your Nashville Tracks session, your session is considered confirmed and the session fee is non refundable.
• Cancellation Policy: (Vocal Session, Mix Session, Editing Session) A 24 Hour Cancellation Notice is required to cancel at no charge. However, in the event that you must cancel within less of the 24 hour time frame, the full 3 hour session fee will apply.
